DBGorilla Terms of Service
Last updated: July 2, 2026
Welcome to the Terms of Service (these “Terms”) for Furious Engineering Corp. d/b/a DBGorilla (“Company,” “DBGorilla,” “we,” “our,” or “us”) and our websites, applications, hosted platform, artificial-intelligence powered database assistant, agents, tools, software, documentation, APIs, integrations, local components, database analysis workflows, query optimization workflows, schema visualization tools, clone workflows, migration safety workflows, PR/CI bot, MCP server, support services, and any content, tools, features, or functionality offered on or through the foregoing (collectively, the “Services”).
These Terms govern your access to and use of the Services. These Terms apply to our self-service Free, Pro, and Business plans. These Terms do not govern Enterprise customers, dedicated tenancy customers, on-premise deployments, or other customers that enter into a separately negotiated written agreement with DBGorilla, except to the extent that such agreement expressly incorporates these Terms.
Please read these Terms carefully. They include important information about your legal rights. By accessing or using the Services, creating an account, clicking to accept these Terms, placing a payment card on file, purchasing a subscription, purchasing Gorilla Credits, or otherwise using any paid or unpaid portion of the Services, you agree to these Terms. If you do not understand or agree to these Terms, please do not use the Services.
For purposes of these Terms, “you” and “your” means you as the user of the Services. If you use the Services on behalf of a company, organization, or other entity, then “you” includes both you and that entity, and you represent and warrant that you are authorized to bind that entity to these Terms.
SECTION 9 CONTAINS AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER. BY AGREEING TO THESE TERMS, YOU AGREE, WITH LIMITED EXCEPTIONS, TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, WHICH MEANS YOU WAIVE THE RIGHT TO HAVE THOSE DISPUTES DECIDED BY A JUDGE OR JURY. YOU ALSO WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, CONSOLIDATED ACTIONS, OR REPRESENTATIVE ACTIONS. YOU MAY OPT OUT OF THE ARBITRATION CLAUSE AND CLASS ACTION WAIVER AS DESCRIBED IN SECTION 9.
1. The Services
1.1 DBGorilla Engine, Input, and Output
DBGorilla is a generative AI database assistant designed to help users perform database-related tasks, which may include database insights, query optimization, schema visualization, database health checks, database configuration analysis, performance investigation, migration safety analysis, clone workflows, pull request and CI review, and related recommendations.
The Services may provide contextually aware recommendations intended to help improve database performance, lower costs, reduce database issues, and assist with database development and operations. The Services may operate through a hosted SaaS environment, customer-authorized integrations, local components, third-party APIs, cloud telemetry integrations, customer cloud credentials, repository integrations, CI/CD integrations, or other deployment methods made available by DBGorilla.
As part of the Services, you may input, upload, submit, transmit, connect, or otherwise make available information, prompts, database metadata, schema information, query plans, logs, telemetry, diagnostic data, cloud metrics, repository information, CI/CD information, configuration data, credentials, instructions, and other materials (“Input”). The Services may use artificial intelligence tools, automated workflows, and software functionality to generate responses, recommendations, explanations, SQL, code, schema diagrams, query analysis, database health information, reports, clone instructions, migration review comments, performance recommendations, or other materials (“Output”).
Input is included in “Your Content” under these Terms. Output may be inaccurate, incomplete, outdated, non-unique, or unsuitable for your specific database, infrastructure, or operating environment. You are solely responsible for reviewing, testing, validating, approving, and implementing any Output before relying on it or applying it to any development, staging, production, customer-facing, regulated, or business-critical system.
You may not direct the Services to generate Output, or use any Output, in violation of any intellectual property right, contractual restriction, law, regulation, third-party term, security requirement, or these Terms. By submitting Input or connecting any system to the Services, you represent and warrant that you have obtained all rights, licenses, consents, permissions, power, and authority necessary to submit, use, and allow us to use that Input in connection with the Services.
You may not misrepresent Output as having been generated by a human, independently verified, guaranteed, certified, or approved by DBGorilla when that is not true.
1.2 Service Plans
The Services are offered under self-service Free, Pro, and Business plans, and under separately negotiated Enterprise agreements. The features, limits, included usage, credit allotments, retention periods, support targets, and pricing of each plan are described on our pricing and product pages, during checkout, and in your Account dashboard, and may change from time to time. Enterprise plans are not self-service under these Terms and are governed by a separately signed agreement.
1.3 Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.
You may not use the Services if you are prohibited from doing so under applicable law, sanctions rules, export control laws, or these Terms.
1.4 Database and System Responsibility
DBGorilla is not a substitute for your database administrator, engineering team, security team, DevOps team, compliance team, legal team, or professional advisors. You remain solely responsible for your databases, systems, cloud accounts, credentials, permissions, backups, disaster recovery, change control, production readiness, user permissions, security review, compliance obligations, and decisions made using the Services.
Unless a feature expressly requires broader access and you choose to enable that feature, you should provide DBGorilla with read-only access. You are responsible for limiting the permissions of any credentials, credits, service accounts, API keys, cloud roles, database users, repositories, CI/CD systems, or other access methods you provide to the Services.
1.5 Beta Offerings
From time to time, we may make available beta, preview, experimental, early access, or test features (“Beta Offerings”). Your use of Beta Offerings is voluntary. Beta Offerings are provided on an “as is” and “as available” basis and may contain errors, defects, bugs, inaccuracies, or operational limitations that could cause failures, downtime, corruption, loss of data, incorrect recommendations, unexpected cloud charges, or other issues.
You acknowledge and agree that all use of Beta Offerings is at your sole risk. We may modify, suspend, or discontinue Beta Offerings at any time. If we provide Beta Offerings on a confidential or closed-beta basis, you agree not to disclose, display, publish, or otherwise make available any information about those Beta Offerings without our prior written consent.
2. User Accounts, Subscriptions, Free Trials, and Credits
2.1 Creating and Safeguarding Your Account
To use certain Services, you must create an account (“Account”). You agree to provide accurate, complete, and updated information for your Account. You are solely responsible for all activity under your Account and for maintaining the confidentiality and security of your passwords, authentication methods, API keys, access tokens, cloud credentials, database credentials, repository access, and other access methods.
You must immediately notify us at support@dbgorilla.com if you know or suspect that your Account, credentials, payment method, or any connected system has been stolen, misappropriated, compromised, or used without authorization.
You may not create an Account if we previously removed your Account or banned you from the Services unless we give you written permission.
2.2 Admins and Business Accounts
If you create, manage, or administer an Account, you are responsible for managing users, roles, permissions, SSO, identity provider settings, connected systems, databases, cloud credentials, repositories, credit purchases, auto-reload settings, billing settings, and compliance with these Terms by all users under the Account.
You may invite teammates as permitted by the applicable plan. Seat, host, and team-member policies, and any associated limits, are described in the applicable plan. The plans remain subject to the plan limits, Gorilla Credit usage, retention periods, and other restrictions described in the applicable plan.
2.3 Paid Service Plans
We may provide you with a certain amount of Credits for free. Credits are necessary to use our Services. You may purchase additional Credits to continue to use the Service. If you subscribe to, purchase, or use any paid Credits, you agree to pay all applicable fees and taxes in U.S. Dollars.
Paid Service Plans require a valid credit card, debit card, or other payment method accepted by DBGorilla. By providing a payment method, you represent and warrant that you have the legal right to use that payment method. You authorize DBGorilla and its payment processors to store and charge your payment method for all fees, taxes, Credit Packs, subscription renewals, add-ons, auto-reloads, and other amounts due under these Terms.
Paid Service Plans are payable in advance. DBGorilla is not required to process any subscription, Credit Pack purchase, add-on, upgrade, or other paid Service Plan until payment has been received in full. Any holds, declines, chargebacks, payment processor delays, banking fees, or payment processing issues are solely your responsibility.
Failure to pay applicable fees and taxes may result in suspension, downgrade, limitation, or termination of your access to the paid Service Plan.
2.4 Subscription Renewals and Cancellations
If you purchase a subscription, your subscription will automatically renew at the subscription period shown during checkout or in your Account, or monthly if no subscription period is designated. Your payment method will automatically be charged at the start of each renewal period for the applicable fees and taxes.
To avoid future subscription charges, you must cancel your subscription before the renewal date through your Account settings or another cancellation method made available by DBGorilla.
Cancellation stops future renewal charges but does not provide a refund for the then-current subscription period. Following cancellation, you may continue to access the paid Services through the end of the subscription period for which you have already paid, unless your Account is suspended or terminated for violation of these Terms.
2.5 No Subscription Refunds
Except as expressly stated in these Terms, required by applicable law, or agreed by DBGorilla in writing, payments for subscriptions, Credit Packs, add-ons, and other paid Services are non-refundable and there are no credits for partially used periods, unused credits, unused capacity, unused support, downgrades, or cancellations.
2.6 Free Accounts and Free Trials
New Accounts may receive a promotional period of elevated features as described during signup. Unless otherwise stated during signup, no payment card is required to create a Free Account. At the end of any such promotional period, the Account will revert to the applicable Free plan unless you add a valid payment method and select a paid plan. The scope and duration of any promotional period, and the features of the Free plan, are described during signup and on our pricing page.
Free trials and promotional access may be subject to additional terms and conditions, are non-transferable, have no monetary value, and may be terminated if you violate these Terms. Free trials are generally available only to users who have not previously subscribed to the Services or previously received a similar free trial or promotional benefit.
If a credit card is required for a specific free trial, your payment method will not be charged until after the trial expires, unless otherwise disclosed. Upon expiration of that free trial, you may be charged the then-current subscription price for the applicable Service Plan unless you cancel before the trial ends.
2.7 Gorilla Credits
“Gorilla Credits” or “GC” are usage credits used to meter certain AI agent work, inference, investigation, query analysis, clone-related activities, PR/CI review, migration safety workflows, and other usage-based activities within the Services.
Gorilla Credits are not currency, stored value, cryptocurrency, securities, gift cards, or cash equivalents. They have no cash value, are not redeemable for cash, may not be sold or transferred outside the Services, and may only be used for eligible DBGorilla Services.
Paid Service Plans include a monthly allotment of Gorilla Credits as described in the applicable plan. Monthly included credits do not roll over and expire at the end of the applicable monthly billing cycle.
2.8 Gorilla Credit Packs
Eligible customers may purchase Gorilla Credit Packs in advance, as described in the applicable plan and during checkout. Gorilla Credit Pack pricing and eligibility are subject to change and described on our pricing page.
Gorilla Credit Pack credits roll over for the period stated at purchase and expire thereafter. Gorilla Credit Packs are non-refundable except where required by law or expressly agreed in writing by DBGorilla.
DBGorilla may change Gorilla Credit Pack pricing, package sizes, expiration rules, and usage rules prospectively. Any change will not reduce the number of unexpired Gorilla Credit Pack credits already purchased by you.
2.9 Auto-Reload
Auto-reload may be enabled by default for paid plans unless disabled during checkout or in your Account settings. When auto-reload is enabled, you authorize DBGorilla and its payment processor to automatically charge your payment method for the applicable default Gorilla Credit Pack when your credit pool drops to the threshold shown in your Account settings.
Auto-reload frequency limits are shown in your Account settings. You may disable auto-reload in Account settings. If auto-reload is disabled, your payment method fails, or your Gorilla Credits are exhausted, your use of credit-consuming features may be limited, suspended, degraded, or unavailable until you purchase additional credits or your monthly credit allotment resets.
Billing source of truth. The following order of precedence governs billing questions. The prices, fees, rates, plan limits, monthly Gorilla Credit allotments, Gorilla Credit Pack terms, and the rules for counting databases, hosts, clusters, connections, and other plan units are governed by the pricing page and checkout flow in effect at the time of your purchase or renewal, as described in Section 10.1 and Exhibit A. The measured quantity of your actual usage and Gorilla Credit consumption is governed by DBGorilla’s usage records and internal metering, which are controlling absent manifest error. Where a billing question falls to more than one of these sources, the pricing page and checkout flow in effect at the time of your purchase or renewal control the applicable prices and unit-counting rules, and DBGorilla’s usage records and internal metering control the measured amount of usage.
3. Orders for Products and Services
3.1 Payment for Offerings
The Services may allow you to purchase subscriptions, Credit Packs, add-ons, implementation support, premium support, usage-based features, or other products or services (collectively, “Offerings”).
You acknowledge and agree that all payment information you provide is accurate, current, and complete. When you purchase an Offering, you agree to pay the price shown for that Offering, plus all applicable taxes, fees, and charges (“Full Purchase Amount”). You authorize DBGorilla and its payment processors to charge your payment method for the Full Purchase Amount.
Unless otherwise stated, all currency references are in U.S. Dollars. We reserve the right, with or without prior notice and in our sole discretion, to discontinue, modify, limit, refuse, cancel, or restrict any Offering.
3.2 Additional Quantities and Add-Ons
Where offered, you may add additional plan quantities, capacity, or add-ons at the rates and subject to the limits shown in the applicable checkout flow, on our pricing page, or in your Account dashboard. If you exceed or attempt to circumvent your plan’s limits, we may require you to upgrade, reduce your usage, purchase an add-on, or suspend affected functionality.
3.3 Promotional Codes
We may offer promotional codes, referral codes, discount codes, coupon codes, credits, or similar offers (“Promotional Codes”). Promotional Codes may be subject to additional terms. You agree that Promotional Codes:
(a) must be used lawfully; (b) must be used only for the intended audience and purpose; (c) may not be duplicated, sold, transferred, posted publicly, or made available through coupon services unless expressly permitted by DBGorilla; (d) may be disabled or modified by DBGorilla at any time; (e) may only be used according to the specific terms applicable to the Promotional Code; (f) are not valid for cash; and (g) may expire before use.
3.4 Changes and Pricing Errors
DBGorilla may revise or change the pricing, availability, specifications, descriptions, limits, or features of any Offering at any time. While we try to describe Offerings accurately, we do not warrant that descriptions are accurate, complete, reliable, current, or error-free.
We may correct pricing errors, cancel orders placed with pricing errors, and refund amounts already charged for canceled orders. The inclusion of an Offering at a particular time does not imply or warrant that the Offering will be available at any other time.
4. Location of Our Privacy Policy
4.1 Privacy Policy
Our Privacy Policy describes how we collect, use, and disclose information when you access or use the Services. For an explanation of our privacy practices, please visit our Privacy Policy located at: https://www.dbgorilla.com/legal/privacy.
4.2 Data Processing Terms
If you are a Business customer and require a Data Processing Addendum (“DPA”), security addendum, or similar terms, those terms must be separately agreed by DBGorilla in writing unless they are made available as part of the self-service checkout flow or Account settings.
5. Rights We Grant You
5.1 Right to Use the Services
Subject to your compliance with these Terms and payment of all applicable fees, DBGorilla grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal business, engineering, database operations, development, testing, evaluation, and administrative purposes.
If any software, local component, documentation, connector, agent, plugin, or other material owned or controlled by DBGorilla is made available to you as part of the Services, DBGorilla grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use that material solely as necessary to use the Services as permitted by these Terms.
Your access to and use of the Services may be interrupted from time to time for maintenance, updates, repairs, security reasons, third-party outages, capacity limitations, beta changes, or other actions that DBGorilla may take.
5.2 Restrictions on Your Use of the Services
You may not do any of the following in connection with your use of the Services unless applicable law prohibits the restriction or you have our written permission:
- copy, modify, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, resell, lease, sublicense, or otherwise commercialize the Services except as expressly permitted in these Terms;
- duplicate, decompile, reverse engineer, disassemble, decode, or attempt to discover source code, model weights, prompts, algorithms, architecture, non-public APIs, or underlying ideas of the Services;
- use the Services to build, train, improve, benchmark, or develop a competing product or service;
- use, reproduce, or remove any copyright, trademark, service mark, trade name, slogan, logo, image, proprietary notation, or other rights notice displayed through the Services;
- use automation software, bots, scrapers, crawlers, unauthorized scripts, or other unauthorized third-party software to access, monitor, extract, copy, or collect data from the Services;
- circumvent, remove, alter, deactivate, degrade, or thwart any technological measure, rate limit, usage limit, plan limit, credit limit, billing system, security control, or access restriction;
- access or use the Services in a manner that could disable, overburden, damage, disrupt, impair, or interfere with the Services or any other user’s access to the Services;
- attempt to gain unauthorized access to the Services, accounts, databases, cloud environments, repositories, systems, networks, credentials, or data;
- conduct penetration testing, vulnerability testing, load testing, denial-of-service testing, security testing, or benchmarking of the Services without DBGorilla’s prior written consent;
- introduce viruses, trojan horses, worms, logic bombs, malware, harmful queries, malicious code, or other technologically harmful materials;
- submit, connect, or process data that you do not have the right to submit, connect, or process;
- use the Services to violate any applicable law, regulation, third-party right, contract, or third-party terms;
- use the Services for high-risk activities where failure could lead to death, personal injury, catastrophic environmental damage, critical infrastructure failure, or other high-risk harms;
- use the Services as the sole basis for production database changes without human review, testing, backup, and approval;
- misrepresent Output as guaranteed, independently verified, certified, or generated by a human; or
- access or use the Services in any way not expressly permitted by these Terms.
5.3 Local Components, Integrations, and Customer Environment
You are responsible for providing and maintaining the equipment, software, cloud accounts, databases, networks, internet connections, repositories, CI/CD tools, monitoring tools, identity providers, and other systems necessary to use the Services.
DBGorilla does not guarantee that the Services will be compatible with every database, system, device, cloud environment, configuration, region, repository, CI/CD provider, or monitoring tool.
5.4 Bring-Your-Own Cloud Credentials
Business customers may be able to connect AWS, Azure, GCP, or other supported cloud credentials to enable cloud telemetry, clone workflows, infrastructure analysis, logging integrations, and related features.
If you connect cloud credentials or other third-party services, you authorize DBGorilla to access and use those services as necessary to provide the functionality you enable. You are responsible for all fees, usage charges, storage charges, compute charges, network charges, egress charges, permissions, IAM roles, security configuration, and compliance obligations associated with your third-party services.
If clone workflows run on your cloud infrastructure, you are responsible for the cloud costs and security configuration associated with those clones. DBGorilla is not responsible for third-party cloud fees or charges incurred through your use of enabled features.
6. Ownership and Content
6.1 Ownership of the Services
The Services, including their software, models, prompts, workflows, agents, user interfaces, look and feel, text, graphics, images, logos, proprietary content, documentation, templates, algorithms, reports, know-how, and other materials, are protected by copyright, trademark, trade secret, patent, and other intellectual property laws.
DBGorilla and its licensors own all right, title, and interest in and to the Services, including all intellectual property rights. Except for the limited rights expressly granted to you in these Terms, DBGorilla reserves all rights in and to the Services.
6.2 Ownership of Trademarks
DBGorilla’s names, trademarks, logos, product names, service names, designs, and slogans are trademarks of DBGorilla or its affiliates or licensors. You may not use them without DBGorilla’s prior written permission. Other names, logos, product names, service names, designs, and slogans that appear through the Services are the property of their respective owners.
6.3 Ownership of Feedback
We welcome feedback, comments, ideas, bug reports, suggestions, requests, recommendations, and other input for improvements to the Services (“Feedback”).
You acknowledge and agree that Feedback does not give you any right, title, or interest in the Services or in such Feedback. All Feedback becomes the sole and exclusive property of DBGorilla. You hereby assign to DBGorilla all right, title, and interest, including all intellectual property rights, that you may have in and to Feedback. DBGorilla may use, disclose, commercialize, and exploit Feedback in any manner and for any purpose without notice, restriction, compensation, or obligation to you.
You should not provide Feedback that you are not authorized to provide or that DBGorilla cannot use in this manner.
6.4 Your Content
In connection with your use of the Services, you may submit, upload, transmit, connect, or otherwise make available Input, prompts, logs, telemetry, query plans, schema information, database metadata, configuration data, cloud metrics, repository information, CI/CD information, credentials, files, comments, communications, and other materials (collectively, “Your Content”).
As between DBGorilla and you, DBGorilla does not claim ownership of Your Content. However, DBGorilla and its licensors own and will continue to own the Services and all software, technology, models, prompts, tools, workflows, and materials used to generate Output.
To operate and provide the Services, DBGorilla must obtain certain license rights in Your Content. Accordingly, by using the Services or providing Your Content, you grant DBGorilla a worldwide, royalty-free, transferable, sublicensable license to access, use, host, cache, store, reproduce, transmit, display, process, analyze, modify, create derivative works from, and otherwise use Your Content to provide, maintain, secure, support, troubleshoot, improve, and develop the Services; generate Output; enforce these Terms; comply with law; and as otherwise described in our Privacy Policy or applicable data processing terms.
DBGorilla may make Your Content available to service providers, subprocessors, affiliates, contractors, and other third parties with whom DBGorilla has contractual relationships related to the provision of the Services, solely for purposes consistent with these Terms.
You represent and warrant that you have all rights, licenses, consents, permissions, power, and authority necessary to grant the rights granted in these Terms and to submit, connect, process, and use Your Content through the Services.
6.5 Sensitive Information
DBGorilla does not intend nor wants to store customer personally identifiable information (PII) from your databases. Unless expressly authorized in a separate written agreement, you may not submit or connect to the Services any protected health information, PCI cardholder data, consumer financial account credentials, government identification numbers, export-controlled technical data, classified information, children’s data, or other information that is legally prohibited from being processed through the Services.
You are responsible for configuring the Services and your connected systems to avoid sending sensitive information that should not be processed by DBGorilla.
6.6 Aggregated and De-Identified Data
DBGorilla may create, use, disclose, and commercialize aggregated, statistical, or de-identified information derived from use of the Services, provided that such information does not identify you or any individual and does not disclose your confidential database contents.
6.7 Data Retention and Deletion
DBGorilla retains agent observation history, telemetry history, plan history, investigation transcripts, metadata, logs, outputs, audit logs, clone records, and other data derived from your use of the Services for the retention period applicable to your plan, as described in the applicable plan and our Privacy Policy. Retention periods vary by plan; Enterprise retention is separately negotiated.
Your databases themselves are not intended nor are they to be stored by DBGorilla as full database copies.
After expiration or termination, DBGorilla may delete or disable access to Your Content in accordance with its retention practices, legal obligations, backup practices, and operational policies. Backup copies may persist for a limited period before deletion in the ordinary course of business.
6.8 Notice of Infringement
If you believe that any materials appearing through the Services infringe your copyright or other intellectual property rights, you may notify us at legal@dbgorilla.com. Your notice should include sufficient information for us to identify the allegedly infringing material, contact you, and evaluate your claim. DBGorilla may disable or terminate accounts of users who repeatedly infringe intellectual property rights.
7. Third-Party Services and Materials
7.1 Third-Party Materials
Certain Services may display, include, access, or make available content, data, information, applications, software, open-source components, third-party models, cloud services, monitoring tools, repositories, CI/CD tools, identity providers, payment processors, communication tools, or other materials from third parties (“Third-Party Materials”).
By using the Services, you acknowledge and agree that DBGorilla is not responsible for examining or evaluating the content, accuracy, completeness, availability, timeliness, validity, legality, quality, security, or functionality of Third-Party Materials. DBGorilla does not warrant or endorse Third-Party Materials and will not have liability or responsibility to you or any other person for Third-Party Materials.
7.2 Third-Party Terms
Your use of third-party services may be subject to additional third-party terms and policies. You are responsible for reviewing and complying with those terms. DBGorilla is not responsible for third-party outages, API changes, pricing changes, data practices, security incidents, service limitations, or fees.
8. Disclaimers, Limitations of Liability, and Indemnification
8.1 Disclaimers
Your access to and use of the Services are at your own risk. You understand and agree that the Services, including all Output, Beta Offerings, Credit Packs, integrations, recommendations, support, documentation, and related materials, are provided to you on an “AS IS” and “AS AVAILABLE” basis.
To the maximum extent permitted by applicable law, DBGorilla, its parents, affiliates, related companies, officers, directors, employees, contractors, agents, representatives, partners, service providers, and licensors (collectively, the “Company Entities”) disclaim all warranties and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and error-free operation.
The Company Entities make no warranty or representation and disclaim all responsibility and liability for:
(a) the completeness, accuracy, availability, timeliness, security, or reliability of the Services or any Output; (b) any harm to your databases, systems, cloud accounts, repositories, networks, data, software, infrastructure, or business that results from your access to or use of the Services; (c) the operation or compatibility of the Services with any database, cloud provider, monitoring system, repository, CI/CD system, identity provider, application, device, or environment; (d) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis; (e) the deletion, failure to store, failure to transmit, or corruption of Your Content, Output, logs, telemetry, or communications; (f) the accuracy, safety, validity, performance, or production-readiness of any query, recommendation, migration, clone workflow, configuration change, or other Output; or (g) any third-party service, Third-Party Material, third-party model, third-party API, or customer-controlled environment.
No advice or information, whether oral or written, obtained from the Company Entities or through the Services, will create any warranty or representation not expressly made in these Terms.
You acknowledge that the Services may generate Output containing incorrect, biased, incomplete, unsafe, or unsuitable information. You should not rely on the Services or any Output as professional advice, including legal, security, financial, compliance, engineering, database administration, or other professional advice. Output is not a substitute for review by qualified professionals.
Due to the nature of generative AI tools, other users may receive Output that is similar or identical to Output generated for you. You agree that such other users may use their own independently generated Output for their own purposes.
The laws of certain jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If those laws apply to you, some or all of the disclaimers, exclusions, or limitations in these Terms may not apply, and you may have additional rights.
8.2 Limitations of Liability
To the extent not prohibited by law, you agree that in no event will the Company Entities be liable for any indirect, special, exemplary, incidental, consequential, enhanced, or punitive damages, including loss of use, loss of data, loss of profits, loss of revenue, business interruption, procurement of substitute goods or services, database outage, failed migration, failed query, security incident, data corruption, cloud cost, customer claim, reputational harm, or other damages or losses arising out of or related to your use of or inability to use the Services, any Output, any Third-Party Materials, or these Terms, however caused and under any theory of liability, whether contract, tort, negligence, strict liability, statute, or otherwise, even if the Company Entities have been advised of the possibility of such damages.
The Company Entities’ total liability to you for any damages finally awarded will not exceed the greater of: (a) one hundred dollars ($100); or (b) the amount you paid DBGorilla, if any, in the six months before the event giving rise to the claim for the Services giving rise to the claim.
The foregoing limitations will apply even if any limited remedy fails for its essential purpose.
8.3 Indemnification
By entering into these Terms and accessing or using the Services, you agree to defend, indemnify, and hold harmless the Company Entities from and against any and all claims, costs, damages, losses, liabilities, and expenses, including attorneys’ fees and costs, arising out of or in connection with:
(a) your violation or breach of these Terms or any applicable law or regulation; (b) your violation of any rights of any third party; (c) your misuse of the Services; (d) Your Content; (e) your databases, systems, cloud accounts, repositories, CI/CD systems, credentials, configurations, or environments; (f) your use, implementation, or reliance on Output; (g) your negligence, willful misconduct, or fraud; or (h) any act or omission by any user under your Account.
If you are obligated to indemnify any Company Entity, then DBGorilla or the applicable Company Entity may control the defense and settlement of the claim, and you agree to fully cooperate. You may not settle any claim in a manner that imposes liability, admission, or obligation on any Company Entity without DBGorilla’s prior written consent.
9. Arbitration and Class Action Waiver
9.1 Please Read This Section Carefully
This Section may significantly affect your legal rights, including your right to file a lawsuit in court and have a jury hear your claims. It contains procedures for mandatory binding arbitration and a class action waiver.
9.2 Informal Process First
You and DBGorilla agree that, in the event of any dispute, either party will first contact the other party and make a good faith effort to resolve the dispute before resorting to more formal means of resolution, including arbitration or court action. The receiving party will have 30 days to respond. This informal dispute resolution procedure is a condition precedent to initiating arbitration or court proceedings, except where emergency injunctive relief is sought.
9.3 Arbitration Agreement and Class Action Waiver
After the informal dispute resolution process, any remaining dispute, controversy, or claim relating in any way to DBGorilla, the Services, any Output, any purchase, any subscription, any Credit Pack, any Account, these Terms, or any access to or use of the Services (collectively, a “Claim”), will be resolved by final and binding arbitration, including threshold questions of arbitrability.
You and DBGorilla agree that any Claim will be settled by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures then in effect. Because these Terms and this arbitration agreement concern interstate commerce, the Federal Arbitration Act governs the arbitrability of all disputes. The arbitrator will apply applicable substantive law consistent with the Federal Arbitration Act and applicable statutes of limitations.
Arbitration will be handled by a single arbitrator in the English language. Judgment on the arbitration award may be entered in any court with jurisdiction. Any arbitration under these Terms will take place on an individual basis. Class arbitrations and class actions are not permitted.
You understand that by agreeing to these Terms, you and DBGorilla each waive the right to trial by jury and the right to participate in a class action or class arbitration.
9.4 Exceptions
Notwithstanding the foregoing, you and DBGorilla agree that the following types of disputes may be resolved in a court of proper jurisdiction:
(a) claims within the jurisdiction of small claims court, consistent with the jurisdictional and dollar limits that may apply, so long as the claim is brought and maintained as an individual dispute and not as a class, representative, or consolidated action; (b) claims where the sole form of relief sought is injunctive or equitable relief; and (c) intellectual property claims.
9.5 Costs of Arbitration
Payment of filing, administration, and arbitrator costs and expenses will be governed by the JAMS Rules, except that if you demonstrate that such costs would be prohibitively more expensive than a court proceeding, DBGorilla will pay the amount the arbitrator determines necessary to prevent arbitration from being prohibitively more expensive than a court proceeding, subject to possible reimbursement if the arbitrator determines that the substance of your Claim or the relief sought is frivolous or brought for an improper purpose.
Fees and costs may be awarded as provided by applicable law. The arbitrator may resolve disputes regarding payment or reimbursement of fees or expenses at any time during the proceeding.
9.6 Opt-Out
You have the right to opt out of the arbitration provisions in these Terms by sending written notice of your decision to opt out to legal@dbgorilla.com or to the mailing address listed in Section 11.8. The notice must be sent within 30 days after you first register to use the Services or first agree to these Terms, whichever occurs first. Otherwise, you will be bound to arbitrate disputes on a non-class basis in accordance with these Terms.
If you opt out of only the arbitration provisions and not the class action waiver, the class action waiver still applies. You may not opt out of only the class action waiver and not the arbitration provisions. If you opt out of arbitration, DBGorilla will also not be bound by the arbitration provisions.
9.7 Waiver of Right to Bring Class Actions and Representative Claims
To the fullest extent permitted by applicable law, you and DBGorilla each agree that any proceeding to resolve any dispute, claim, or controversy will be brought and conducted only in the respective party’s individual capacity and not as part of any class, consolidated, multiple-plaintiff, private attorney general, or representative action or proceeding (“Class Action”).
You and DBGorilla waive the right to participate as a plaintiff or class member in any Class Action. If a dispute is subject to arbitration, the arbitrator will not have authority to combine or aggregate claims, conduct a Class Action, or make an award to any person or entity not a party to the arbitration.
If this class action waiver is limited, voided, or found unenforceable, then, unless the parties mutually agree otherwise, the parties’ agreement to arbitrate will be null and void with respect to such proceeding so long as the proceeding is permitted to proceed as a Class Action. If a court decides that the limitations in this paragraph are invalid or unenforceable, any putative class, private attorney general, consolidated, or representative action must be brought in a court of proper jurisdiction and not in arbitration.
10. Additional Product Terms
10.1 Plan Units, Databases, and Connections
How the Services count databases, hosts, clusters, connections, and other plan units, and any associated limits, is described in the applicable plan, documentation, checkout flow, or Account dashboard. DBGorilla may determine, in its sole discretion, all such counting rules and unit determinations based on technical architecture, replication topology, billing fairness, monitoring scope, and plan limits.
10.2 Clones
Certain plans include database clone functionality. Clone types, limits, TTLs, storage locations, infrastructure providers, and availability vary by plan and are described in the applicable plan, documentation, checkout flow, or Account dashboard. Business customers who connect supported bring-your-own cloud credentials may receive expanded clone workflows, subject to their own cloud costs and security configuration.
You are responsible for ensuring that any clone workflow complies with your legal, contractual, security, privacy, and regulatory obligations.
10.3 Migration Safety, PR/CI Bot, and Autonomous Investigations
The Services may assist with migration safety, pull request review, CI workflows, and autonomous investigations. These features are advisory and may be incomplete or wrong. You are solely responsible for reviewing and approving all database changes, migrations, queries, configuration changes, deployments, and recommendations before implementation.
10.4 Support Targets
Support availability and response targets vary by plan and are described in the applicable plan. Support targets are not guaranteed resolution times and do not create a service level agreement unless expressly agreed in a separate written agreement.
11. Additional Provisions
11.1 Communications
We may contact you by email, in-product notice, Account notification, phone, messaging platform, or other reasonable method regarding your Account, billing, security, product updates, support, legal notices, and marketing communications where permitted by law. You are responsible for keeping your Account contact information current.
You may opt out of marketing communications as described in those communications. You may not opt out of transactional, security, legal, or service-related communications.
11.2 Updating These Terms
We may modify these Terms from time to time. If we make material changes, we will use reasonable efforts to notify you, such as by email, in-product notice, or posting a prominent notice on our website. However, it is your responsibility to review these Terms from time to time.
Updated Terms will be effective as of the time of posting or such later date as may be specified. Your continued access to or use of the Services after the updated Terms become effective will be deemed your acceptance of the updated Terms. No amendment will apply to a dispute for which arbitration has been initiated before the change in Terms.
11.3 Termination of License and Your Account
If you breach any provision of these Terms, all licenses granted by DBGorilla will terminate automatically. DBGorilla may suspend, disable, downgrade, limit, or delete your Account or the Services, or any part of them, with or without notice, for any or no reason, including if DBGorilla believes you have violated these Terms, failed to pay amounts due, created security or operational risk, misused the Services, or violated law.
If DBGorilla deletes your Account for suspected breach of these Terms, you may not re-register under a different name without DBGorilla’s written permission.
In the event of Account deletion or termination for any reason, DBGorilla may, but is not obligated to, delete Your Content. DBGorilla is not responsible for failure to delete or deletion of Your Content.
All sections that by their nature should survive termination will survive, including ownership, payment obligations, confidentiality, disclaimers, limitation of liability, indemnification, arbitration, class action waiver, export compliance, and miscellaneous provisions.
11.4 Injunctive Relief
You agree that a breach of these Terms may cause irreparable injury to DBGorilla for which monetary damages would not be an adequate remedy. DBGorilla will be entitled to seek equitable relief, including injunctive relief, in addition to any remedies available under these Terms or at law, without the need to post bond, other security, or proof of damages.
11.5 California Residents
If you are a California resident, in accordance with Cal. Civ. Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting it in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at 800-952-5210.
11.6 Export Laws
You agree that you will not export or re-export, directly or indirectly, the Services or any information, software, Output, or materials provided by DBGorilla except as authorized by applicable law. The Services may not be exported or re-exported into any U.S. embargoed country or to anyone on any U.S. government list of prohibited or restricted parties, including the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.
By using the Services, you represent and warrant that you are not located in any prohibited country and are not listed on any prohibited or restricted party list. You are responsible for complying, at your sole expense, with all applicable export control and sanctions laws.
11.7 Miscellaneous
If any provision of these Terms is unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of any remaining provisions.
These Terms and the licenses granted hereunder may be assigned by DBGorilla but may not be assigned by you without DBGorilla’s prior written consent. Any attempted assignment in violation of this section is void.
No waiver by either party of any breach or default will be deemed a waiver of any preceding or subsequent breach or default. Section headings are for reference only and do not affect interpretation.
The Services are operated from the United States. Those who access the Services from outside the United States do so on their own initiative and are responsible for compliance with applicable local laws.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules. The proper venue for disputes will be the arbitration venue described in Section 9, or, if arbitration does not apply, the state and federal courts located in Delaware, unless applicable law requires otherwise.
You and DBGorilla agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms.
